The round was led by funds managed by Daniel Loeb's Third Point, with strategic backing from Nvidia alongside a syndicate of top-tier global investors including Fidelity Management, T. Rowe Price, BlackRock funds, GIC, and existing backers Sandton Capital and Kestrel 360.

Unlike a traditional equity round, the financing was raised as convertible notes that will convert into equity at a discount upon Nscale's planned listing in the United States. The structure gives the company immediate firepower for construction while giving late-stage investors a clear path to IPO upside. People familiar with the deal say it was heavily oversubscribed.

For context, Nscale last raised $1.1 billion in a Series B in December 2024. This new $3.36B injection more than triples its total capital raised and ranks among the largest private AI infrastructure financings in European history.

Why Third Point and Nvidia Are Betting Big

Nvidia's participation is even more strategic. Nscale is a key Nvidia Cloud Partner in Europe and one of the first neoclouds to deploy Nvidia's GB200 NVL72 Blackwell systems at scale. Nvidia has now backed Nscale across multiple rounds, tightening a full-stack relationship that spans chips, networking, software, and go-to-market.

CEO Josh Payne has positioned Nscale as a sovereign-ready, full-stack AI factory provider — not just GPU rental, but data centers, power, cooling, networking, and managed AI services. That pitch has resonated with both hyperscalers and governments worried about AI sovereignty.

How The $3.36B Will Supercharge Global Expansion

Nscale says the capital will primarily fund its massive data center pipeline, which now exceeds 1.3 gigawatts of AI-ready capacity under development across key sites.

In the UK, that includes its flagship 50MW-plus site in Loughton, Essex, expansion in Stockton-on-Tees, and participation in Stargate UK — the joint push with OpenAI, Microsoft, Oracle and others to build sovereign AI capacity in Britain.

In Norway, Nscale is building one of Europe's greenest AI campuses in Narvik, powered by 100% renewable hydro, with an initial 60MW phase already live and plans to scale to hundreds of megawatts. In the US, the company is expanding in Texas and Georgia to serve American hyperscale and enterprise customers closer to home.

The company plans to use much of the funding to procure tens of thousands of additional Nvidia Blackwell GPUs, with early allocations reserved for Nvidia's next-generation Rubin platform, plus power procurement, land, and liquid-cooling infrastructure.

The Road to a US IPO

The convertible structure points directly to Wall Street. Nscale has publicly confirmed it is preparing for an initial public offering in the United States, widely expected on the Nasdaq in the first half of 2027.

Bankers say the $3.36B round effectively serves as a pre-IPO financing, allowing Nscale to fund 2026-2027 construction without pricing equity today. Conversion terms are reported to include a 20% discount to the IPO price, a common mechanism to reward pre-IPO risk.

If market conditions hold, Nscale could debut at a valuation of $12 billion to $15 billion, which would make it one of the largest UK tech listings to ever list in the US — and a landmark test of investor appetite for neoclouds after CoreWeave's volatile 2025 debut.

Can Nscale Win the Neocloud Wars?

Competition is fierce. US rival CoreWeave scaled past $5 billion in revenue on the back of similar debt and equity raises, while Crusoe, Lambda, Nebius and Hut 8 are all racing to lock up power and Nvidia supply.

Nscale's edge, analysts argue, is Europe. With strict data sovereignty rules, huge power constraints, and government backing for homegrown AI, Nscale is positioned as the default sovereign AI cloud for the UK and EMEA. It already counts Microsoft, Meta, and several large model labs among its customers for GPU capacity, according to people familiar with its operations.

Risks remain: the model is extremely capital-intensive, reliant on debt, power delivery timelines, and continued GPU demand. But with $3.36B fresh in the bank, Nvidia in its corner, and an IPO on the horizon, Nscale has just bought itself a serious lead in the global race to build the factories of AI.
